Terms of Use

Effective date: October 6, 2026
Last updated: October 6, 2026

These Terms of Use (“Terms”) govern your access to and use of CMX Chat (“CMX,” “we,” “us,” or “our”), including cmxchat.com, related websites, software, platform features, digital services, community features, and other products or services that link to these Terms.

By accessing or using CMX, you agree to these Terms. If you do not agree, do not use the applicable service.

1. What CMX Provides

CMX operates digital products and services that may include website and software development, design, digital marketing, search and content work, research and OSINT-related services, automation, AI-enabled tools, infrastructure and systems work, community features, and other digital services.

Some services may be provided under a separate proposal, statement of work, order form, subscription, or other written agreement. If a separate written agreement conflicts with these Terms, the separate agreement controls for that service.

2. Eligibility and Accounts

You are responsible for providing accurate information when creating an account, submitting a form, purchasing a service, or otherwise interacting with CMX. You are also responsible for keeping your login credentials secure and for activity performed through your account.

Where an account, paid service, or contractual service requires you to be legally able to enter into an agreement, you represent that you have that authority. Services intended for adults are not intended for children.

3. Acceptable Use

You may not use CMX to:

We may restrict or terminate access when reasonably necessary to protect users, systems, third parties, or CMX.

4. Client and Professional Services

Project scope, deliverables, schedules, pricing, payment terms, revisions, ownership, and other project-specific terms may be set out in a separate agreement or written proposal. Estimates and timelines may change when requirements change, third-party systems are unavailable, or circumstances outside CMX’s reasonable control affect delivery.

Unless expressly stated in writing, CMX does not guarantee specific rankings, traffic levels, revenue, conversion rates, media coverage, security outcomes, search-engine placement, or other business results.

5. Payments and Refunds

If you purchase a paid service, you agree to pay the fees and taxes disclosed to you at the time of purchase or in the applicable agreement. Payment processing may be handled by third-party providers.

Refunds, cancellations, and credits are governed by the terms presented for the applicable service or written agreement. If no specific refund term applies, fees for work already performed are generally non-refundable to the extent permitted by law.

6. Intellectual Property

CMX and its licensors own the rights in CMX websites, software, branding, designs, documentation, code, systems, and content, except for material owned by clients, users, or third parties.

You may not copy, sell, sublicense, redistribute, or create derivative works from CMX-owned materials except as permitted by law or with written permission.

Ownership of client deliverables is governed by the applicable project agreement. Nothing in these Terms transfers ownership of pre-existing CMX tools, frameworks, know-how, libraries, software, or other materials unless expressly agreed in writing.

7. Content You Provide

You retain ownership of content you submit to CMX, subject to any separate agreement. You grant CMX the limited rights reasonably necessary to host, process, transmit, review, modify, or otherwise use that content to provide the service you requested, operate the platform, maintain security, and comply with law.

You represent that you have the rights needed to provide any content, data, files, credentials, instructions, or other materials you submit.

8. AI, Automation, and Generated Output

Some CMX services may use artificial intelligence, automated systems, or third-party AI providers. AI-generated output can be incomplete, inaccurate, or unsuitable for a particular purpose and should be reviewed before it is relied on or published.

You are responsible for how you use generated output and for independently reviewing important factual, legal, financial, medical, security, or other high-impact information.

9. Research, OSINT, and Public Information

Research and OSINT-related services are intended for lawful purposes. Findings may rely on public sources, third-party databases, historical records, automated analysis, and other information that can be incomplete, outdated, disputed, or inaccurate.

Unless expressly agreed otherwise, research findings are provided as documented findings and analysis rather than a guarantee that every available source has been identified or that every source is correct.

10. Third-Party Services and Links

CMX may depend on or link to services operated by third parties, including hosting providers, analytics tools, payment processors, communication platforms, APIs, search engines, AI providers, and other software services. CMX does not control third-party services and is not responsible for their independent terms, availability, security, or content.

11. Security

We use reasonable administrative, technical, and organizational measures to protect CMX systems and information. No website, network, transmission method, or storage system can be guaranteed to be completely secure.

If you believe you have found a security issue affecting CMX, contact us rather than exploiting, publishing, or using the issue to access information you are not authorized to access.

12. No Professional Advice

Unless CMX has expressly agreed in writing to provide a regulated professional service, information provided through CMX is not legal, medical, financial, accounting, or other regulated professional advice.

13. Service Availability and Changes

We may add, change, suspend, or discontinue features or services. We do not guarantee that any service will be uninterrupted, error-free, or available at all times.

14. Disclaimers

To the maximum extent permitted by law, CMX services are provided on an “as is” and “as available” basis. We disclaim warranties that are not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement where such disclaimers are permitted.

15. Limitation of Liability

To the maximum extent permitted by law, CMX and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunities, or data arising from use of a CMX service.

Where liability cannot legally be excluded, CMX’s aggregate liability for a claim will be limited to the amount paid to CMX for the specific service giving rise to the claim during the twelve months before the event giving rise to liability, unless applicable law requires a different result.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold CMX harmless from claims, damages, losses, and reasonable costs arising from your unlawful use of CMX, your violation of these Terms, or content you provide that infringes another person’s rights.

17. Termination

You may stop using CMX at any time. We may suspend or terminate access where reasonably necessary because of a violation of these Terms, nonpayment, fraud, abuse, security risk, legal requirement, or material risk to CMX or others.

Provisions that by their nature should survive termination, including intellectual property, payment obligations, disclaimers, liability limitations, and dispute provisions, will survive.

18. Privacy

Our Privacy Policy explains how we collect, use, and protect personal information.

19. Changes to These Terms

We may update these Terms as CMX changes. The current version will be posted on this page with an updated date. Your continued use of CMX after an update means you accept the revised Terms to the extent permitted by law.

20. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable consumer protection or other mandatory law requires otherwise.
